Form 5471 Filing Categories: 1–5 Comparison & Examples
Compare Form 5471 filing categories, ownership triggers and schedule requirements, with hypothetical examples and links to the applicable IRS instructions.
Owning a foreign company does not produce one universal Form 5471 checklist. An officer with no shares, a new minority investor, and a controlling owner can have different reporting obligations. The useful starting point is a dated ownership map, not a guess based on the company's bank balance or whether it distributed profits.
This reference uses the December 2025 Form 5471 instructions, checked October 23, 2026. It helps with that revision, including 2025 returns filed in 2026. For a different return year, confirm the applicable instructions and law; do not carry ownership-attribution or income-inclusion rules forward automatically.
Categories 1–5: what triggers the review?
| Category | Main question | Records to gather |
|---|---|---|
| 1 | Is there a section 965 specified foreign corporation and continuing reporting, including relevant section 965 earnings or previously taxed earnings? | Prior Forms 5471, section 965 workpapers, Schedules J/P, and ownership chain |
| 2 | Was a U.S. citizen or resident an officer/director when a U.S. person made an acquisition meeting the 10% ownership or additional-acquisition test? | Officer/director dates, share register and acquisition records |
| 3 | Did a U.S. person have a reportable acquisition, disposition, U.S.-person status change, or another Category 3 event? | Ownership before/after each event, voting rights, share values and status-change dates |
| 4 | Did a U.S. person control more than 50% of voting power or value during the relevant period, including applicable indirect/constructive ownership? | All classes of shares and upstream/downstream ownership |
| 5 | Was a U.S. shareholder an owner of a CFC under the applicable timing and ownership rules? | CFC-status dates, direct/indirect/constructive ownership, and shareholder records |
A 10% interest and control over 50% answer different questions. Category 3 includes specified changes in ownership, not every year in which someone owns 10%. Category 5 in this instruction revision generally includes a last-day-of-CFC-status ownership condition; the definition also contains special insurance rules. Read the actual definitions and exceptions in the IRS Form 5471 instructions.
Subcategories and schedule reference
The table below is a selected schedule reference, not an exhaustive filing checklist. Every category starts with the identifying information. Use every applicable column in the IRS “Filing Requirements for Categories of Filers” chart for the complete package, including Schedules G-1 and H-1 where applicable and all chart footnotes.
| Category | Subcategory distinction | Selected schedule references in the December 2025 chart |
|---|---|---|
| 1a | Category 1 filer outside 1b/1c | B Part II; E/E-1; J; P |
| 1b | Unrelated section 958(a) U.S. shareholder of a foreign-controlled section 965 SFC | P; E/E-1 only when the chart's deemed-paid-tax condition applies |
| 1c | Related constructive U.S. shareholder of a foreign-controlled section 965 SFC | B Part II; E (not E-1); G/G-1 |
| 2 | Officer/director acquisition reporting | O Part I |
| 3 | Specified ownership/status events | A; B Parts I/II; C/F; G/G-1; O Part II |
| 4 | Control | A/B/C/F; E/E-1; H; I/I-1; J; M; P/Q/R, plus other chart requirements |
| 5a | Category 5 filer outside 5b/5c | B Part II; E/E-1; H; I/I-1; J; P/Q/R, plus other chart requirements |
| 5b | Unrelated section 958(a) U.S. shareholder of a foreign-controlled CFC | I/I-1; P/Q; conditional E/E-1 and H-1 |
| 5c | Related constructive U.S. shareholder of a foreign-controlled CFC | B Part II; E (not E-1); G/G-1; I-1 |
“Foreign-controlled,” “unrelated,” and “constructive” are defined terms in this context. They are not simply descriptions of where the majority shareholder lives. Schedule H-1's chart footnote concerns applicable corporations for corporate alternative minimum tax purposes. A blank entry for one category does not remove a requirement arising under another category.

Three hypothetical ownership timelines
These examples illustrate the December 2025 category framework. They assume ordinary shares, no attribution from related people or entities, and no filing exception unless stated. They are not client cases or determinations for later-year rules.
A new minority investment. Alex, a U.S. citizen, owns no shares on January 1, 2025 and acquires 12% of both vote and value on July 1. Unrelated non-U.S. individuals hold the remaining shares; there are no other U.S. shareholders. The acquisition points to Category 3 and Schedule O Part II. A 12% direct interest alone does not give Alex Category 4 control or establish that the corporation is a CFC. If a U.S. citizen/resident officer or director is involved, separately review Category 2 for that person.
A controlling shareholder throughout the year. Bea, a U.S. citizen, directly owns 60% of vote and value throughout calendar 2025 and remains an owner on the corporation's last CFC day. Assume ordinary CFC rules and no 5b/5c facts. Categories 4 and 5a overlap. A new acquisition or disposal is not needed for that annual reporting, and the combined package includes the Category 4 Schedule M requirement. Confirm whether Category 1 or another obligation also applies from prior history.
A minority shareholder sells down. Carlos, a U.S. citizen, starts 2025 with 15% and sells stock on September 30, leaving 8% of vote and value. That disposition below the Category 3 threshold calls for a Category 3 review even though year-end ownership is below 10%. Preserve the sale agreement and before/after register; checking only December 31 misses the event.
Prepare the ownership and financial records together
Use the Form 5471 preparation worksheet to record the facts before choosing categories. The plain-text file can be saved or printed without providing an email address.
- Identify each legal entity and its U.S. tax classification; a local company label does not by itself settle the U.S. classification.
- Make a dated ownership chart showing voting power and value separately, including family members, entities, options and trusts that need attribution analysis.
- Record acquisitions, disposals, officer/director roles, citizenship/residency changes, and the corporation's accounting period.
- Gather financial statements, related-party transactions, foreign taxes, distributions, prior returns, elections, earnings-and-profits and previously-taxed-income workpapers.
- Document each proposed category, the applicable instruction revision, exceptions considered, and required schedules. If another person will file the same information, check the joint-filer requirements and statements; do not assume their filing automatically covers you.
Form 5471 is generally attached to the applicable return by that return's due date, including extensions. Missing or incomplete information can trigger significant penalties and other consequences even when the company did not distribute cash. The amount and remedy depend on the reporting provision and facts; see the IRS instructions' penalty section.
Help with a foreign corporation filing
Start with the foreign corporation consultation to identify the entity, years, ownership and records involved. Any preparation scope and fee are agreed before work begins. This article does not make a filing determination, provide a legal opinion, or establish an income-inclusion calculation.
A planned stock sale also needs transaction analysis. Category 3 reporting does not decide whether gain is capital, affected by section 1248, or subject to PFIC rules. Use the foreign business sale guide for that separate issue and the CFC guide for the broader reporting framework.
常见问题
What are the current Form 5471 filing categories?
The December 2025 IRS instructions list Categories 1, 2, 3, 4, and 5. Categories 1 and 5 have a, b, and c subcategories. There is no Category 6 in that revision. Use the instructions applicable to the corporation's accounting period and the taxpayer's return year.
Can more than one filing category apply?
Yes. A controlling owner can have Category 4 and Category 5 obligations, and an acquisition or disposal may also create Category 3 reporting. Apply the combined schedule requirements and check the exceptions rather than choosing only the broadest-looking category.
Do all Form 5471 filers need the same schedules?
No. For example, a Category 2 filer generally reports the identifying information and Schedule O Part I under the December 2025 chart, while Category 4 entails much more extensive reporting. Additional categories, chart footnotes, and special filing requirements can change the package.
